These Terms of Service ("Terms") strictly govern the relationship between TicoNeural Studio ("Agency", "we", "us") and any entity or individual ("Client", "you") engaging our software engineering services. By accessing our website or signing a service agreement, you agree to be bound by these Terms.

1. Services

TicoNeural Studio provides high-performance web engineering, AI integration, and software development services. Our deliverables include, but are not limited to:

Custom Web Application Development (React, Astro, Next.js)
Artificial Intelligence System Integration
Cloud Infrastructure Architecture (AWS, Vercel)
Performance Optimization and Auditing

Specific deliverables, timelines, and scope for each project are defined in a separate Statement of Work (SOW) or Proposal signed by both parties.

2. Engagement Model & Payments

2.1 Project-Based (Milestones)

For custom development projects, we operate on a strict milestone basis:

Initial Deposit: Required to schedule resources and commence discovery/design phases.
Beta/Prototype Delivery: A significant payment tranche is due upon delivery of a functional prototype.
Final Delivery: The remaining balance is due prior to the final code handoff and deployment to production.

2.2 Retainers (Agentic Teams)

For ongoing support or dedicated teams, fees are billed monthly in advance. Unused hours do not roll over unless explicitly agreed upon in writing.

2.3 Late Payments

Invoices are due within 15 days of issuance. Late payments may incur interest of 1.5% per month. We reserve the right to suspend services or withhold deliverables for accounts more than 30 days overdue.

3. Intellectual Property (IP) Rights

3.1 Client Ownership

Upon full payment of all fees, TicoNeural Studio assigns to the Client all right, title, and interest in the custom code, designs, and specific deliverables created for the Client under this agreement.

3.2 Agency Background Technology

TicoNeural Studio retains ownership of its pre-existing code libraries, developer tools, AI agents, and generic reusable components ("Background Technology") incorporated into the Deliverables. We grant the Client a perpetual, non-exclusive, royalty-free license to use such Background Technology solely as part of the Deliverables.

4. Client Obligations

To ensure project success, the Client agrees to:

Provide necessary assets, credentials, and feedback in a timely manner (typically within 3 business days).
Designate a single point of contact for decision-making.
Acknowledge that delays in feedback will result in equitable adjustments to the project timeline.

5. Confidentiality

Both parties agree to protect the other's Confidential Information with the same degree of care they use to protect their own data. This includes trade secrets, business strategies, and proprietary code. This obligation survives the termination of this agreement.

6. Warranties and Liability

6.1 Warranty

We warrant that our services will be performed in a professional and workmanlike manner in accordance with industry standards. We provide a 30-day warranty period following final delivery to fix any bugs directly related to our code at no extra cost.

6.2 Limitation of Liability

In no event shall TicoNeural Studio be liable for any indirect, incidental, special, or consequential damages (including loss of profits, data, or business interruption). Our total liability strictly related to any claim under this agreement shall not exceed the total fees paid by the Client in the 3 months preceding the claim.

7. Termination

Either party may terminate a project for convenience with 14 days' written notice. In such events, the Client shall pay for all work completed up to the date of termination. If the Client terminates, any non-refundable deposit is forfeited.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Costa Rica, without regard to its conflict of law provisions. Any disputes shall be resolved in the jurisdiction of San José, Costa Rica.
